1. Acceptance of these terms
By accessing or using NextPhase Recon, creating an account, accepting an invitation, or purchasing access to the service, you agree to these Terms of Service on behalf of yourself and, where applicable, the dealership or organization you represent.
If you use the service on behalf of a business, you represent that you have authority to bind that business to these terms.
2. The service
NextPhase Recon helps used-vehicle dealership teams capture vehicle findings, convert those findings into structured work, coordinate dependencies and approvals, and route role-specific actions to managers, employees, and vendors.
The service may evolve during validation and development. Features, interfaces, workflows, integrations, and availability may change as the product is improved.
3. Business use and account responsibility
NextPhase Recon is intended for business use. Customers are responsible for ensuring that account information is accurate and that only authorized personnel receive access.
Users are responsible for safeguarding passwords, authentication credentials, and invitation links and for promptly notifying NextPhase Recon of suspected unauthorized access.
4. Employees, vendors, and access controls
Dealership employees may receive authenticated accounts with access determined by role and permissions. Outside vendors may receive secure, limited-access links that permit only the actions necessary for assigned work.
Customers are responsible for assigning appropriate roles, maintaining accurate user information, and revoking access when a person no longer requires it.
5. Customer content and dealership data
Customers retain ownership of the dealership, vehicle, task, image, note, workflow, and other content they submit to the service.
You grant NextPhase Recon a limited right to host, process, transmit, reproduce, and otherwise use that content as necessary to provide, secure, support, and improve the service.
You are responsible for ensuring that you have the rights and permissions necessary to submit content to NextPhase Recon.
6. Artificial Intelligence and automated processing
Some features use Artificial Intelligence (AI) to interpret unstructured information, including inspection notes or issue descriptions, and convert it into structured work.
AI-generated interpretations may require human review. Customers remain responsible for operational decisions, approvals, repair decisions, pricing decisions, and other business actions taken using the service.
NextPhase Recon is designed so deterministic application logic, rather than AI alone, controls permissions, workflow state, dependency rules, and orchestration.
7. Acceptable use
You agree not to:
- use the service for unlawful, fraudulent, deceptive, or abusive activity;
- attempt to gain unauthorized access to accounts, systems, data, or secure links;
- interfere with, disrupt, reverse engineer, or circumvent security or access controls;
- upload malicious code or content intended to damage systems or other users;
- use the service in a manner that infringes intellectual property, privacy, or other rights;
- resell or commercially exploit access to the service except under a separate written agreement.
8. Fees, subscriptions, and taxes
Fees and plan details are those presented at signup, in an applicable order form, or otherwise agreed in writing. Website pricing may be updated prospectively as the product evolves.
Any order-specific billing, renewal, cancellation, tax, or refund terms presented at purchase will control if they differ from these general terms.
9. Intellectual property
NextPhase Recon, including its software, design, workflows, branding, documentation, and related intellectual property, is owned by NextPhase Web & Ads, LLC or its licensors.
Except for the limited right to use the service under these terms, no ownership rights are transferred to customers or users.
10. Third-party services
NextPhase Recon may rely on third-party infrastructure, hosting, authentication, communications, Artificial Intelligence, analytics, or other service providers.
Third-party services may be subject to their own terms, availability, and technical limitations.
11. Service availability and changes
We aim to provide a reliable service, but we do not guarantee uninterrupted or error-free operation. Maintenance, updates, outages, security events, or third-party failures may temporarily affect availability.
We may modify the service to improve security, usability, reliability, compliance, or product functionality.
12. Suspension and termination
Access may be suspended or restricted when reasonably necessary to protect the service, users, dealership data, or third parties; to investigate suspected misuse; or to comply with legal obligations.
Customers may stop using the service at any time, subject to any applicable order or billing terms.
13. Disclaimers
To the fullest extent permitted by law, NextPhase Recon is provided on an “as is” and “as available” basis. We disclaim warranties that are not expressly stated in a written agreement.
NextPhase Recon does not replace professional mechanical judgment, dealership policies, vendor judgment, regulatory compliance responsibilities, or human approval where those are required.
14. Limitation of liability
To the fullest extent permitted by law, NextPhase Web & Ads, LLC and its affiliates, officers, employees, contractors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost business opportunities, or loss of goodwill arising from use of the service.
Some jurisdictions do not permit certain exclusions or limitations, so portions of this section may not apply in every circumstance.
15. Governing law
These terms are governed by the laws of the State of Georgia, without regard to conflict-of-law principles, except where applicable law requires otherwise.
16. Changes to these terms
We may update these Terms of Service from time to time. Updated terms will be posted with a revised effective date. Continued use of the service after updated terms become effective constitutes acceptance of the revised terms where permitted by law.
